Terms of Service

1. Agreement to terms

These Terms of Service ("Terms") govern your access to and use of the ePrepX platform, operated by Fluede Technologies("we", "us", or "our"). By accessing or using ePrepX, you agree to be bound by these Terms. If you do not agree, do not use the platform.

2. Eligibility and accounts

ePrepX is a B2B platform intended for use by schools, educational institutions, and their authorised staff. By creating an account, you represent that you have the authority to bind the institution on whose behalf you are registering.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised access at hello@eprepx.org.

3. The platform and services

ePrepX provides a digital examination management platform including exam creation, student examination delivery, automated grading, analytics, and result reporting ("Services"). The specific features available to you depend on your subscription plan.

We reserve the right to modify, update, or discontinue features of the platform with reasonable notice. We will not make changes that materially degrade the core Services without offering an appropriate remedy.

4. Acceptable use

You agree not to:

• Use ePrepX for any unlawful purpose or in violation of any applicable law
• Upload or distribute content that is defamatory, obscene, or infringes third-party rights
• Attempt to gain unauthorised access to any part of the platform
• Reverse engineer, decompile, or disassemble any part of the platform
• Use automated scripts to access the platform without our prior written consent
• Misrepresent grades, manipulate rubrics, or use the platform to commit academic fraud

5. Intellectual property

All intellectual property rights in the ePrepX platform, including software, design, trademarks, and content created by Fluede Technologies, remain the exclusive property of Fluede Technologies. Nothing in these Terms grants you any rights in the platform beyond the limited licence to use it in accordance with your subscription.

Content you upload to ePrepX (exam questions, rubrics, student scripts) remains your intellectual property. You grant Fluede Technologies a limited licence to process this content solely for the purpose of providing the Services.

6. Data and privacy

Your use of ePrepX is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Where you use ePrepX to process student personal data, a separate Data Processing Agreement (DPA) will apply.

7. Fees and payment

Subscription fees are set out in your order agreement with Fluede Technologies. All fees are payable in advance and are non-refundable except as required by applicable law or as expressly stated in our refund policy. We reserve the right to suspend access to the platform for non-payment after reasonable notice.

8. Warranties and disclaimers

ePrepX is provided "as is" and "as available". While we strive for high availability and accuracy of the grading engine, we do not warrant that the platform will be error-free, uninterrupted, or that grading results will be perfect in all cases. The platform should be used as a tool to assist — not replace — sound educational judgement.

9. Limitation of liability

To the maximum extent permitted by applicable law, Fluede Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of ePrepX. Our total aggregate liability for any claim arising under these Terms shall not exceed the subscription fees paid by you in the 12 months preceding the event giving rise to the claim.

10. Term and termination

These Terms apply for the duration of your subscription. Either party may terminate the agreement with 30 days' written notice. Upon termination, your access to the platform will be suspended and your data will be retained for 90 days before deletion in accordance with our Privacy Policy.

11. Governing law

These Terms are governed by the laws of the Republic of South Africa. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of South Africa.
